Acceptance of these terms
These Terms of Service (the "Terms") form a binding agreement between you and NULLREACH LTD, a private limited company registered in England and Wales, with a registered office at Suite 11615, 61 Bridge Street, Kington, United Kingdom, HR5 3DJ ("AI4Kanban," "we," "us"). These Terms govern your access to and use of the website at ai4kanban.dev and AI4Kanban Cloud (together, the "Service").
By using the Service — including by signing in to AI4Kanban Cloud, or turning Cloud on for a board — you confirm that you have read these Terms and our Privacy Policy and agree to be bound by them. If you do not agree, do not use the Service.
What AI4Kanban is, and what these Terms do not cover
AI4Kanban is a project board that a coding agent plans and keeps. The board is a folder of Markdown files in your own repository, and the desktop app and the akb command read and write it on your own machine.
The app is open-source software, distributed under the Apache License 2.0. That licence is the whole of your rights to use, copy, modify, and redistribute it, and nothing on this page adds to it or takes from it. These Terms cover the two things the licence does not: this website, and the hosted service described below.
AI4Kanban Cloud is a hosted service that relays the task events a board raises — a review to approve, a question to answer — and the decisions made on them, so you can act on a board without being at the machine it runs on. Your board, your repository, and your coding agent stay on that machine. Cloud is optional. A local board never touches it. What Cloud is, and what this release does not ship, is described on /cloud, and the Privacy Policy says exactly what it holds.
The Service is provided as a working product. Features and availability can change, and we may add, modify, or remove features at our discretion. Where a change is material, we will give reasonable notice.
The Cloud preview
AI4Kanban Cloud is currently an invite-only preview. That has three consequences worth stating plainly.
Access is something we grant. Sign-up is not open. Using Cloud requires that we admit your account, which we do by approving a request you make in the app, and we may decline, limit, or withdraw that at our discretion.
There is no availability promise. The preview carries no uptime commitment, no service level, and no support response time. It runs on free infrastructure tiers whose own limits may refuse writes or make the Service unavailable without notice. It may be slow, it may break, and features may change or disappear between one day and the next.
We may act on an account to keep the Service running. Specifically, we may:
- Suspend or close an account whose use violates these Terms, creates a security risk, or creates legal exposure for us or for others.
- Limit or refuse writes to stay inside the capacity the preview runs on.
- Migrate, restructure, or reset an account's Cloud records where necessary to operate or repair the Service.
- Access those records where it is necessary to run the Service, to investigate a fault, or where the law requires it — not to read your board. See the Privacy Policy.
How the preview ends
We may end the preview, or close any account, at any time.
Where it is practical, we will give you reasonable notice first. No fixed notice period is promised — not 30 days, not any other number. A preview running on infrastructure that can be withdrawn inside a month should not make a promise it cannot keep, so it does not make one.
Where a notice is delivered: by email. We send it by hand from [email protected] to the email address GitHub verified for your account. That is the only route — the preview delivers no notice inside the app and none in a connected Slack or Lark chat, and a post on ai4kanban.dev may accompany the email but never stands in for it. This notice and the answer to an invite request are the whole of the email the preview sends; there is no mailing list and no marketing.
What you keep
A Local board is not on Cloud, so a closure does not take it. Its cards, memory files, releases and configuration are Markdown in your own repository, on your own machine, and they are the same files whether Cloud is on or off.
A Cloud board is, so export it. Its cards, memory, releases and history live in the workspace we hold, and a closure would take them with it. The app writes the whole board out as Markdown into a folder you choose, at any time and as often as you like, and that folder opens as a Local board. The preview keeps no backups, so an export you have made is the only copy anybody can restore from. Leaving Cloud is yours to do, and an owner deletes the workspace — both under Configuration → Workspace.
The preview keeps no backups. There is no daily backup, no point-in-time recovery, and no copy of your Cloud records anywhere except the live one.
What ending the preview costs you is your event history — which task asked what, what you answered, and how the run ended — and your Slack and Lark connections. Those are the things Cloud holds and nothing else does.
A copy of what Cloud holds about you is a data request to [email protected]; so is removing it. A removal takes your whole account and everything under it, and therefore your place in the preview — the service has no way to remove one board's record and leave the account. It does not take a workspace you are in: your membership and your machines leave it, the workspace stays with the people still in it, and the handle you had is kept on what you already did there. A workspace you own has to be transferred to another owner or deleted before we can remove your account. The Privacy Policy sets out both in full.
Eligibility and accounts
You must be at least 16 years old to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, in which case "you" means that organization.
You sign in to Cloud with a GitHub account. You are responsible for everything that happens under your account, including keeping your GitHub credentials secure and telling us promptly at [email protected] about any unauthorized use.
A workspace can hold more than one person. An owner adds a teammate by GitHub handle, and only one we have already admitted to the preview — adding somebody does not admit them. A workspace has two roles and no third: an owner runs its name, its members, its machines and its deletion; a member does everything else on the board. Everyone in a workspace reads the whole of it, and the record of who changed what carries each person's GitHub handle.
You are responsible for who you add. Adding somebody to a workspace gives them the whole board — every card and the whole history — and an owner you appoint can add and remove anybody else, including you. Every other Cloud record belongs to one account and answers that account alone.
Acceptable use
You agree not to:
- Use the Service for any illegal purpose, or to infringe anyone's rights, including intellectual property, privacy, and publicity rights.
- Send content to Cloud that you do not have the right to send there, or that contains malware, phishing, or other harmful material.
- Probe, scan, or test the vulnerability of the Service, attempt to bypass rate limits or the preview's capacity limits, or interfere with its normal operation.
- Attempt to reach records belonging to another account.
- Resell, sublicense, or otherwise commercially exploit the hosted Service without our written permission. (This restriction is about the hosted Service. What you may do with the open-source app is the Apache License 2.0's business, not ours.)
- Use the Service to store data whose loss would harm someone, given that the preview keeps no backups.
We may suspend or close access if we reasonably believe you are violating this section.
Your board content
You keep all ownership in what your board sends to Cloud — a card's title, its opening paragraph, its review notes, the questions it raises, and the decisions and answers you record against them ("Board Content").
Board Content is the part of a card an event carries, and nothing more. The board itself — the rest of every card, your memory files, your releases, and the board's configuration — never reaches Cloud, so these Terms ask for no licence over any of it.
You grant AI4Kanban a worldwide, non-exclusive, royalty-free licence to host, store, transmit, and display Board Content solely as needed to operate and secure the Service for the account it belongs to and, where it is in a workspace, for the people that workspace holds, and to deliver it to a destination you connect yourself, such as a Slack or Lark conversation. That licence is the minimum the Service needs to exist; it ends when the content is deleted.
We do not train AI models on your Board Content, and no AI model is run over it. AI4Kanban Cloud relays a board's events — your coding agent runs on your own machine, under your own model account, and neither its prompts nor its output pass through the Service except as the part of a card an event already carries.
You are responsible for your Board Content, including making sure you have the rights to send it and that it complies with these Terms. We may remove content that violates these Terms or that we are legally required to remove.
Intellectual property and feedback
The AI4Kanban name, brand, and website content are ours. The application source is licensed to you under the Apache License 2.0 and nothing here changes that; this section is about the parts the licence does not cover, and about the hosted Service, in which we grant you a limited, non-transferable, non-sublicensable, revocable right to use it in accordance with these Terms.
We welcome feedback. If you send us suggestions, ideas, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction. We will not publicly associate feedback with your name without your permission.
Free access and future paid plans
The Cloud preview is free today. There is no charge, no card on file, and no trial that converts into one.
We may introduce paid plans, usage limits, or both. Any paid plan will arrive with notice before a charge, and with a clear description of what it costs and what it includes. You will never be billed for something you were not told about first, and continuing to use the free preview will never be treated as agreeing to pay.
For any paid plan we introduce, fees, taxes, refunds, billing cycles, and renewal terms will be presented at sign-up and form part of these Terms once you accept them.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, AI4KANBAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
The Cloud preview in particular carries no warranty of availability, durability, or data retention. It keeps no backups. Your board is on your own machine either way; the event history Cloud holds is kept nowhere else, and you should not rely on it lasting.
Some jurisdictions do not allow the exclusion of certain warranties, in which case the exclusions above apply only to the extent permitted by law and do not affect any non-waivable rights you have as a consumer.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AI4KANBAN AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF AI4KANBAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID AI4KANBAN IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow these limits, in which case they apply only to the extent permitted, and nothing in this section limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless AI4Kanban and its founders, officers, employees, and contractors from and against any third-party claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your Board Content; or (b) your use of the Service in violation of these Terms or applicable law. We will tell you promptly about any claim covered by this section, let you control the defence (with counsel reasonably acceptable to us), and reasonably cooperate. You may not settle a claim that requires us to admit liability or take any action without our prior written consent.
If you are a government entity, this section applies only to the extent permitted by applicable law.
Termination
You may stop using the Service at any time. Signing out stops that machine reaching Cloud, and turning Cloud off for a board stops it sending anything more; neither removes a record. Removing your Cloud records is a request to [email protected], and it takes your whole account and your place in the preview with it. Your board stays where it has always been, on your machine.
We may suspend or end your access if you violate these Terms, if your use creates risk or legal exposure for AI4Kanban or others, or if we discontinue the Service — on the terms described in The Cloud preview above.
Sections that by their nature should survive termination — including ownership, the feedback licence, disclaimers, limitation of liability, indemnification, governing law, and the general provisions — will survive.
Governing law and disputes
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter are governed by, and construed in accordance with, the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, and you consent to personal jurisdiction there.
Nothing in this section affects mandatory consumer protections in your country of residence, including any non-waivable right to bring a claim in your local courts.
Changes to these terms
We may update these Terms as the Service evolves. When we do, we will change the effective date at the top of this page and, for a material change, send a notice by hand from [email protected] to the email address GitHub verified for your account. We deliver no notice inside the app and none in a connected Slack or Lark chat.
Your continued use of the Service after the updated Terms take effect means you accept them. If you do not, stop using Cloud — your board is on your own machine either way.
General provisions
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and AI4Kanban about the website and the hosted Service, and supersede any prior agreements on the subject. They do not replace the Apache License 2.0 that governs the application source.
- Severability. If any provision is held unenforceable, the rest of these Terms remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce any provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or by operation of law.
- Notices. We give notices by email, sent by hand from
[email protected]to the email address GitHub verified for your account. A post onai4kanban.devmay accompany one but does not stand in for it. You may give notices to us at [email protected]. - Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet or provider outages, or government action.
- Relationship. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and AI4Kanban. There are no third-party beneficiaries.
- Export and sanctions. You may not use the hosted Service if you are subject to applicable sanctions or located in a jurisdiction subject to a comprehensive embargo. You agree to comply with all applicable export control and sanctions laws.
